The remuneration committee determines the remuneration policy for the executive policy for the executive directors and the chairman.
Lynne Weedall chairs the remuneration committee. The other members are Mike Coupe, Rob Rowley and Gordon Fryett. The board considers all the members to be independent.
The committee’s roles include:
- determining the remuneration policy for the executive directors and the chairman
- fixing the total individual remuneration package of each of the executive directors
- considering the granting of share options and awards under the long-term incentive plan
- determining bonuses payable to the executive directors
The remuneration committee meets at least three times each year. The chairman and the chief executive, at the request of the committee, attend its meetings. The chairman does not participate in any discussions relating to his own remuneration. The chief executive is consulted by the committee on its proposals, but does not participate in any discussions relating to his own remuneration.
